Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (or the entity you represent) and Voltro UG (haftungsbeschränkt) (“Voltro”, “we”) and govern your access to and use of the Voltro software packages and related documentation and plugins (the “Software”) and the Voltro Cloud service, including its control plane and managed hosting (the “Cloud Service”). By downloading, installing, accessing, or using the Software or the Cloud Service you agree to these Terms. If you do not agree, you may not use them.

The Software can be operated in two modes, and different parts of these Terms apply accordingly: applications hosted by Voltro on the Cloud Service (“Cloud-Hosted”, Part II) and applications you run on your own or third-party infrastructure (“Self-Hosted”, Part III). Parts I and IV apply to both. If you have a separate signed order or agreement with Voltro, that document prevails over these Terms to the extent of any conflict.

The Software is proprietary and is NOT open-source. Subject to and conditioned on your continued compliance with these Terms — including, for Self-Hosted use, the registration obligations in Part III — and payment of any applicable fees, Voltro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your internal purposes. The licence is granted for use by your authorised named users only, and only up to the number of seats (or other applicable billing metric) covered by your plan or order. Each named user must be an identified natural person using their own personal account; accounts, access credentials and seats must not be shared (see Sections 3, 4 and 10). Use by more individuals than you hold seats for, or through shared or generic accounts, is outside the scope of this licence. All rights not expressly granted are reserved by Voltro.

Except as expressly permitted by these Terms, you may not:

• copy, modify, translate, or create derivative works of the Software;
• sell, resell, sublicense, rent, lease, or distribute the Software;
• reverse-engineer or attempt to derive source code, except where such restriction is prohibited by applicable law;
• remove or obscure any proprietary notices;
• circumvent, disable, or interfere with registration, licence verification, quota enforcement, or usage metering (see Part III);
• share an account or access credentials with any other person, or use generic, shared, role-based, team, or functional accounts to access the Software or the Cloud Service;
• allow more individuals to use the Software or the Cloud Service than the number of seats covered by your plan or order, whether concurrently or by rotating access between people; or
• use the Software or the Cloud Service to build a competing product or service.

Access to features, capacities, resources, and plugins — in both Cloud-Hosted and Self-Hosted mode — depends on the plan, subscription, or order you purchase. The applicable entitlements, usage limits, free allowances, billing metric (for example the number of registered projects, applications, or developer seats), fees, and prices are set out in your order or on our pricing page and may change over time. Changes to fees or entitlements apply prospectively, from the start of your next billing period unless stated otherwise. Fees are non-refundable except where required by law or expressly stated. If fees due remain unpaid after notice, Voltro may suspend the affected services and entitlements until payment is made.

Named users and seats. Where a plan is priced per seat (or per developer, per user, or a comparable per-person metric), one seat entitles exactly one identified natural person to use the Software and the Cloud Service. Seats are strictly personal: every person must use their own personal account, and accounts, access credentials and seats must not be shared, pooled, or used by more than one person — whether concurrently or alternating. Generic, shared, role-based, team or functional accounts are not permitted. A seat may be reassigned to another person only where the previous holder permanently ceases to use the Software or the Cloud Service (for example on leaving the team); it must not be rotated between people so as to serve more individuals than seats purchased. You are responsible for keeping the number of declared seats accurate and for your users’ compliance. If more individuals use the Software or the Cloud Service than you hold seats for, Voltro may — without prejudice to Section 19 — invoice the fees that would have been payable for the additional seats over the period concerned.

Individual plugins and add-ons may be offered under separate commercial terms and may be subject to their own, changeable pricing or metering. Installing a plugin does not by itself grant a right to use it in production beyond your plan’s entitlements.

The Cloud Service is the Voltro control plane and, where included in your plan, managed build and hosting infrastructure operated by Voltro or its subprocessors. It lets you create organisations and projects, register applications, connect source-code repositories, start builds, deploy, and operate applications, and gives you observability, metrics, and management features for them.

When you connect a repository, you authorise Voltro to access it (within the scopes you grant) in order to fetch source code, run builds, produce artifacts, and deploy and host the resulting applications on your behalf. You represent and warrant that you hold all rights necessary to grant this access and to have the code built and hosted, and that your code and its dependencies do not infringe third-party rights. Build logs and artifacts are stored as part of the Cloud Service and count toward your plan’s resources.

Cloud-Hosted usage is subject to the limits of your plan — including but not limited to the number of projects and applications, build minutes, compute, memory, storage, bandwidth, and request volume. Voltro enforces these limits technically: at a cap, the relevant operation is refused with a clear error, and running workloads may be throttled or scaled down to your plan’s entitlements. Where your plan or order provides for usage-based fees, usage beyond included allowances is billed as set out there. Voltro may adjust limits of free or trial plans at any time.

You retain all rights to the source code, data, and content you submit to the Cloud Service (“Customer Content”). You grant Voltro the non-exclusive right to host, store, reproduce, and process Customer Content solely as necessary to provide the Cloud Service. You are responsible for the lawfulness of your Customer Content and for maintaining your own copies of source code; the Cloud Service is not a backup service unless expressly stated. Processing of personal data is governed by our Privacy Policy and, where applicable, a data-processing agreement.

You may not use the Cloud Service to:

• host or distribute unlawful, infringing, or malicious content (including malware or phishing);
• attack, probe, or disrupt the Cloud Service, other tenants, or third parties;
• mine cryptocurrency or run workloads unrelated to operating your registered applications; or
• resell raw compute, storage, or network capacity of the Cloud Service as such; or
• share your account or access credentials, or let another person use your personal account (see Sections 3 and 4).

Accounts are personal to one identified individual. You must keep your access credentials confidential, are responsible for all activity under your account, and must notify us without undue delay if you suspect unauthorised use.

Voltro may suspend or restrict workloads that violate this section or that endanger the integrity or availability of the platform, and will inform you where reasonably possible.

Voltro operates the Cloud Service with reasonable skill and care but — unless a service-level agreement is expressly included in your order — does not guarantee any particular availability. Maintenance windows, updates, and changes to the feature set may occur. Features marked as beta, preview, or early access are provided for evaluation, may change or be discontinued at any time, and are excluded from any availability commitments.

Your plan may permit you to run applications built with the Software on your own or third-party infrastructure. Self-Hosted use remains subject to these Terms; you are responsible for the infrastructure, operation, security, and data of Self-Hosted applications.

Every project and every application you operate Self-Hosted must be registered with the Voltro Cloud control plane under your account. Registration up to the free allowance of your plan is free of charge; beyond it, a paid plan covering your registered usage is required, up to plans permitting unlimited Self-Hosted projects. The current allowances, plan tiers, and the applicable billing metric are set out on the pricing page or in your order. Where your plan is priced per seat, your registered usage must also reflect the actual number of named users, and the personal-account and no-sharing requirements in Sections 2, 3 and 4 apply to Self-Hosted deployments in the same way as to the Cloud Service. Operating an unregistered project or application in production, exceeding your plan’s registered allowance without upgrading, or enabling more individuals than you hold seats for, is a material breach of these Terms and of your licence under Section 2.

Self-Hosted applications connect to the Voltro Cloud control plane for registration, licence and quota verification, and — depending on your plan — hosted observability and metrics. The data transmitted for these purposes is described in the Privacy Policy. You may not block, spoof, or otherwise circumvent this connectivity or the enforcement it enables. Separate offline or air-gapped licensing, where available, requires an express agreement (typically an enterprise order).

The Software and the Cloud Service, and all intellectual property rights in them, are and remain the exclusive property of Voltro and its licensors. These Terms convey no ownership. Feedback you provide may be used by Voltro without restriction or obligation.

The Software is distributed with third-party open-source components that remain the property of their respective owners and are licensed under their own terms. Those terms are provided for attribution (see the THIRD-PARTY-NOTICES file distributed with each package) and are not restricted or extended by these Terms.

THE SOFTWARE AND THE CLOUD SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLTRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE CLOUD SERVICE. Mandatory statutory liability (including under the German Product Liability Act and for intent or gross negligence) remains unaffected.

These Terms apply for as long as you use the Software or the Cloud Service. Paid subscriptions run and renew for the period stated in your order or plan and may be cancelled to the end of the then-current billing period.

Voltro may suspend your access, individual workloads, or entitlements where you materially breach these Terms (including the registration obligations in Part III and the acceptable-use rules in Section 10), where fees remain unpaid after notice, or where suspension is necessary to protect the platform, other customers, or third parties. Voltro may terminate these Terms for good cause, and may also terminate free plans, or discontinue the Cloud Service or individual features, with reasonable prior notice.

On termination your licence ends and you must stop using and delete the Software. For Cloud-Hosted applications, Voltro will make Customer Content available for export for a reasonable period after termination (except termination for good cause) and will thereafter delete it in accordance with the Privacy Policy.

Voltro is an evolving service and may update these Terms, plans, entitlements, and the feature set of the Software and the Cloud Service over time. The current version of these Terms is always the one published at this URL, with the “last updated” date above. For material changes we will give reasonable advance notice (for example by e-mail or in the dashboard). Continued use after a change takes effect constitutes acceptance; if you do not agree, you may terminate before the change takes effect.

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For licensing or legal enquiries, contact Voltro UG (haftungsbeschränkt) at support@voltro.cloud.
